I'm a MAGIX Newbie and have had this program for quite sometime.
Although I have used this software in the past, I'm finding that the PlayBack is Freezing for a few seconds during the editing process on the Timeline.
The music track is just fine, but it's the Video Freeze that's driving me batty.
I'm using the MAGIX Movie Edit Pro 2014 on a Windows 8.1 HP 64 bit, 64 Based Processor
Can someone PLEASE offer a suggestion on how to stop or adjust this?

You have not really given us enough information to go on - in particular your PC specification and the video format you are editing.
Generally this issue is caused by editing HD video on a PC / laptop which does not have enough processing power and RAM.
If you had used the search box on the right you would have found there are many questions on this topic.
The best fix, providing you have sufficient hard disc space free, is to use Proxy files. To turn this feature on go into the Project settings (E key) and turn on Automatically create proxy files.
Note: this can increase loading time of video as you add them to the timeline. If you turn this on in the current project then it will takes several minutes to create all the proxy files, however the wait is worth it.
This will create reduced resolution less compressed proxy files which are used on the timeline only. When you come to export the video or burn to disc the original hi res files are used.
Using proxy files requires less processing when you add effects, fades etc and gives a smoother playback.

Sorry I didn't provide specific info regaring my PC and video format.
However, when I open the Project Settings (E key) under Movie Settings, I see everything BUT "Automactically create proxy files".
In it's place is : "Automatically adjust new images to fill screen (borders are faded out)
The option to "Automatically Create Proxy Files" option is NOT there.

Which version of MEP 2014 do you have - Basic, Plus or Premium?
If you have the Basic version then proxy editting is not available - you need the Plus or Premium versions.
It is always better to purchase the Premium version there are many extrs included which you have to purchase in the lower versions.

sadly.... it appears that I may have the Basic, since this feature is missing.
idk if I can Upgrade at this point and if there is an additional cost involved.
I'll see what updates i can make to this and then apply the appropriate changes to the settings.
