No audio present, (i.e. the file is a "silent movie") or no audio can be heard?

I will assume the latter(!).  In which case the problem is most likely to be caused by your computer soundcard being set (by Windows) to playback at 44.1kHz and MEP almost certainly needing 48kHz.

You need to access the Windows Sound applet and ensure that it is set to the correct sample frequency (as above).  Because every computer set up is at least slightly different it is very difficult to give precise directions for how to change this but, in broad terms, if you have a small speaker icon in your Sys Tray, right click on it and choose "Playback Devices".  Highlight your chosen device (if you have any choice, you may not) and choose "Properties" (normally bottom right hand corner of the Playback Devices screen.)  On the screen that opens, choose the "Advanced" tab and ensure the Default Format is "16 bit, 48000 Hz, DVD Quality".

I went over that yesterday as well I checked that info was set at 48000 DVD Quality. Thank you for your input

Weird!  OK.  Can you check, with one of the clips open on the timeline: File>Settings>Movie (shortcut E)>Movie Settings>Audio Sample Rate.  It should show 48000 but others are possible.

If 48000 is showing there, can you download and install the free MediaInfo (I think it can come with unwanted toolbars), point it to one of your clips and see what it says about the Audio Sample Rate?

There has to be a solution to this!

I did as you asked, the audio rate shows on both as 48,000. In addition I installed G-SPOT to check out the codecs and G-SPOT played the clip fine as kind, said the codec's were there and checked OK  . I installed on my laptop and works A OK there... just on this machine so I am missing something this program requires, having spent 2 days on it thus far I am at a total loss as to cause other than it's a codec of some sort.

OK, my last suggestion, I think!  (This is one of those problems that ought not to occur and is so VERY ANNOYING when it does!)

With MEP open and the timeline visible, File>Settings>Program (shortcut Y), Playback tab, what is shown under "Audio Playback", "Driver Selection" and "Output Device"?  Do you have any alternatives to choose?  If you do so, does any of them solve your problem?

I went back into that panel and tried everything I could all possible combinations with NO LUCK.... runing out of things to try IMO

Oh dear!  Sorry Gary, I'm out of ideas!  The only other suggestion I can make is to do a complete uninstall, using either the Magix Cleaner Tool or Revo Uninstaller free, and then reinstall.
